Activist Disney investor Blackwells Capital is suing the media giant over what it sees as an inappropriately cozy relationship with another shareholder, ValueAct Capital.
In the lawsuit filed Thursday in Delaware Chancery Court (read it here), Blackwells lays out concerns about whether ValueAct has been paid to take a pro-Disney position in a brewing proxy fight with activists. Blackwells and Trian Fund Management have agitated for fresh voices on Disney’s board of directors ahead of Wednesday’s annual shareholder meeting, when ballots in board elections officially will be tallied.
The lawsuit requests “books and records in order to determine whether wrongdoing, mismanagement, or breaches of fiduciary duty, including potential violations of disclosure obligations under the federal securities laws, have taken place.” Blackwells also maintains that ValueAct managed Disney pension funds from 2013-23, a fact that Disney neglected to disclose when proclaiming ValueAct’s support.

Paula Weinstein, the veteran studio executive, two-time Emmy winner and producer on such projects as The Fabulous Baker Boys, The Perfect Storm, Analyze This and Grace and Frankie, died Monday. She was 78.
Weinstein died at her home in New York, her daughter, Hannah Rosenberg, told The Hollywood Reporter. No cause of death was revealed.
“The world is a lesser place without my mother,” Rosenberg said in a statement. “She was a masterful producer and a force of nature for the things she believed in, including the many projects that spanned her illustrious career, the stories she fought to tell and the social justice causes she championed.”

George Lucas' "Star Wars: Episode IV -- A New Hope" is a structurally immaculate screenplay. You simply can't tell a sweeping intergalactic adventure -- or, really, any kind of story -- more thrillingly or efficiently. Beat for beat, it's considered the blockbuster narrative gold standard for a reason.
If, however, you're looking for a fantasy epic with dialogue that bounds off the page, might I recommend "Star Wars: Episode V -- The Empire Strikes Back"?
There is a certain genius to the specificity of Lucas' dialogue in the first movie. Characters drop references to Tosche Station, the Kessel Run, and the binary language of moisture vaporators like they're a part of everyday speech -- and fans have seen this movie so many times that these references are now a part of their everyday speech.

Nelson Peltz said today that his bitter proxy fight with Disney is “not about Mr. Iger, nor is it a referendum about his leadership” even as CNBC reported that his firm, Trian Partners, has withheld votes from the CEO, who is also a board nominee.
Trian didn’t respond to a request for comment. But the firm clearly feels it needs to walk a fine line between attacking Disney’s board, but not its rather popular CEO.
Publicly, Trian has been aggressively lobbying shareholders to withhold votes only from Disney board nominees Michael Froman and Maria Elena Lagomasio and back Peltz and former Disney executive Jay Rasulo instead.
